Welcome to Music Theory Coach!

Read these Terms of Service ("Terms") carefully. They govern your use of the Music Theory Coach website, apps, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is operated by Sunjay Varma dba Music Theory Coach ("Music Theory Coach," "we," "us," or "our"), a sole proprietorship owned by Sunjay Varma. If you access the Service through the Apple App Store or Google Play Store, Apple Inc. and Google LLC are also third-party beneficiaries of these Terms.

1. Definitions

• "Service" means the Music Theory Coach website, web app, mobile apps, desktop apps, and any related services.
• "User" or "you" means any person who accesses or uses the Service.
• "Subscription" means a time-limited paid plan (monthly or yearly) that unlocks premium features of the Service.
• "Free Trial" means the limited period during which premium features are accessible at no charge with no payment method required.
• "Auto-Renew" means the opt-in setting that, when enabled, automatically renews your Subscription at the end of each billing period.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18, you may only use the Service with the consent of a parent or legal guardian; a parent or guardian who permits your use also agrees to these Terms on your behalf. By using the Service, you represent that you meet these requirements.

3. User Accounts

• You must provide accurate and up-to-date information when creating an account.
• You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
• Notify us immediately at support@musictheory.coach if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. License to Use the Service

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal, non-commercial purposes, subject to these Terms. You may not use the Service for any commercial purpose without our prior written consent. This license terminates automatically when your account is closed or your access to the Service is terminated.

5. Subscriptions, Free Trial, and Payment

Free Trial

We offer a limited Free Trial. No payment method is required to start a Free Trial, and there is no automatic charge when the trial ends. If you choose not to subscribe after the trial, your access to premium features will simply end at the close of the trial period.

Subscription Plans

To continue accessing premium features after the Free Trial, you may subscribe to a monthly or yearly plan. Pricing is displayed on our website and within the app.

Auto-Renew

Auto-Renew is opt-in and off by default. Your Subscription will not renew automatically unless you explicitly enable Auto-Renew in your account settings. If Auto-Renew is off, your Subscription ends at the close of the current billing period and you will not be charged again.

If Auto-Renew is enabled, your Subscription will renew automatically at the end of each billing period at your then-current locked-in price (see Locked-In Pricing below), until you disable Auto-Renew.

Add-Ons

You may add additional time to your Subscription end date at any time at your current price. Monthly plan holders may add time in monthly increments; yearly plan holders may add time in yearly increments.

Locked-In Pricing

Subscribers with Auto-Renew enabled benefit from locked-in pricing: your subscription price will not change as long as Auto-Renew remains enabled and your Subscription does not lapse. Locked-in pricing applies to a specific plan type. If your Subscription lapses, or if you switch between monthly and yearly plans, the then-current price will apply.

Price Changes

We may increase subscription prices from time to time. We will notify you by email or within the Service at least 30 days before any price increase takes effect. Subscribers with locked-in pricing are not affected by a price increase so long as Auto-Renew remains enabled and their Subscription does not lapse.

Payment Methods

We accept the following payment methods:

• Apple App Store In-App Purchases
• Google Play Store In-App Purchases
• Apple Pay
• Google Pay
• PayPal
• Credit and debit card via Stripe

If you purchase a Subscription through the Apple App Store or Google Play Store, your billing relationship is with Apple or Google respectively, and their terms and refund policies govern that transaction. Please contact Apple or Google directly for billing support or refund requests for those purchases.

Refund Policy

We offer a 30-day money-back guarantee on your first payment only. This applies to the very first payment you ever make to Music Theory Coach and does not apply to renewals, add-ons, or any payment made after resubscribing. If you are eligible, a Request a Refund button will be available on your payment settings page for 30 days following the payment date. Requesting a refund ends your Subscription immediately. Refunds are returned to your original payment method and typically arrive within 30–60 days depending on your bank or payment provider.

This guarantee does not apply to purchases made through the Apple App Store or Google Play Store. For those, please contact Apple or Google directly.

All other payments are non-refundable except as required by applicable law.

If you are located in the European Union, you may have a statutory right to withdraw from a new Subscription within 14 days of purchase. However, by accessing premium features during that period, you acknowledge that your right of withdrawal may no longer apply under EU consumer law.

Coupon Codes

We may offer coupon codes for discounts on Subscriptions during promotions or special events. Coupon codes may be applied to any account, including accounts with an active Subscription. Discounts may be temporary or permanent as stated at the time of issuance. Coupon codes are valid for a limited time and may be revoked if misused or applied fraudulently.

6. Promotions, Contests, and Sweepstakes

We may offer promotions, contests, or sweepstakes from time to time. Any such offering will be subject to additional terms presented at that time and is void where prohibited by applicable law.

7. Restrictions on Use

You may not:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Use bots, scrapers, or other automated tools to access or interact with the Service.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Share your account credentials with any third party.
• Use the Service to build or assist in building a competing product or service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service in any manner that violates applicable laws or regulations.

8. Intellectual Property

All content, features, and functionality of the Service, including software, text, graphics, logos, icons, audio, and the overall design, are the exclusive property of Music Theory Coach and are protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written permission.

"Music Theory Coach" and related logos and marks are trademarks of Sunjay Varma. Nothing in these Terms grants you any right to use our trademarks.

9. Feedback

If you submit ideas, suggestions, or other feedback about the Service, you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback into the Service or any other product or service we offer, for any purpose, without compensation or attribution to you.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.

11. Modifications to the Service

We may add, change, or remove features of the Service at any time. For changes that materially reduce the functionality available to paid Subscribers, we will provide reasonable advance notice. If you disagree with a material change, you may cancel your Subscription before the change takes effect.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUNJAY VARMA (DOING BUSINESS AS MUSIC THEORY COACH) AND ANY EMPLOYEES OR CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sunjay Varma (doing business as Music Theory Coach) and any employees or contractors from any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your breach of these Terms.

15. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time; upon account deletion or subscription lapse, we handle your data as described in our Privacy Policy. We may suspend or terminate your access at any time if you breach these Terms or if we discontinue the Service. The following sections survive termination: 8 (Intellectual Property), 9 (Feedback), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law and Disputes), and 19 (General).

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in California. You and Music Theory Coach each consent to the personal jurisdiction of such courts.

17. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms caused by circumstances beyond our reasonable control, including natural disasters, acts of government, third-party infrastructure outages, or other force majeure events.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or a notice within the Service before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

19. General

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Music Theory Coach regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• No Waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
• Assignment. You may not assign your rights or obligations under these Terms. We may assign ours without restriction.
• Headings. Section headings are for convenience only and have no legal effect.
